Constitution of Pound Hill (North) Residents Association
Purpose
To work for and on behalf of all members
regarding the good order and well‑being of the area of Pound Hill
North.
Annual General Meeting
The A.G.M. will be held during the month of
September at a suitable venue within the area.
A quorum of 10% of
the Membership is required for the A.G.M. to take place.
The purpose of the meeting shall be:
To elect a
Chairman; Vice Chairman; Honorary Secretary; Honorary Treasurer; and
eight committee members,
to receive the audited accounts,
to accept and
vote upon any amendments to this Constitution,
to review the work of
the previous year.
Committee Meetings
A quorum will consist of six members of, which
two must be principal officers. Meetings will take place as
necessary providing at least two meetings are held per annum not
more than six months apart
Membership
Any person living in Pound Hill North may
become a member upon payment of the agreed subscription.
Any person
living in Pound Hill South may become an Associate Member with full
voting rights upon payment of the agreed subscription. providing
these members do not exceed one fifth (20%) of the total Membership.
If a member acts in a manner contrary to the spirit and Intentions
of the Association, then he/she may be debarred from the Association
at the discretion the Committee.
Subscriptions
Amounts and regularity of subscriptions shall
be decided by the committee and put before the next membership
meeting for approval. If approval is withheld, the meeting shall
decide the level of subscriptions.
Finance And Accounts
The financial year shall run from 1st August to
31st July.
The accounts will be operated by, four officers. These
will be the Chairman; the vice chairman; the Secretary; the
Treasurer. All cheques must be signed by two of these four officers.
The accounts shall be
independently audited no later than six weeks from the close of the
financial year.
The accounts may be open for inspection by any
member at all reasonable times.
In the event of winding up the
Association. all members may vote on the dispersal of surplus
monies left in the account.
Expenses
Reasonable expenses only shall be paid. Any
queries will be decided by the committee, not less than six members
voting.
Amendments To The Constitution
Any amendments to this constitution shall be
handed to the Secretary at least one month prior to the Annual
General Meeting and must be signed by the Proposer and Seconder.
Winding Up The Association
In the event of the Committee or Membership
Meeting recommending winding up the Association, notice of such, and
voting papers, shall be sent to all members. A majority of the
voting papers returned by the declared date shall decide the matter.
Not less than three weeks' notice shall be given for voting to take
place.
